De-Sta-Co buys IMC from Emerson and Crane

18 December, 2007

Industrial Motion Control (IMC), the mechanical motion control business owned jointly by Emerson Electric and Crane, has been bought by De-Sta-Co, a member of the US-based Dover Corporation’s Industrial Products division. Precise terms for the transaction have not been revealed, although Crane – a US manufacturer of engineered industrial products – says that it will receive around $33m in cash from the sale, with an after-tax gain of $6m.

IMC, which has annual sales worth around $50m, makes products such as precision cam-actuated index drives, parts handlers, torque limiters and precision link conveyors, that carry the Camco and Ferguson brand names. Its headquarters are in Illinois in the US, and it also has operations in Belgium and China.

IMC was formed in 2001 by the merger of the Commercial Cam Co and Ferguson Machine. Ferguson was the originator of the roller gear indexer known as the Ferguson drive.

"This has been a successful and profitable joint venture that has created real value for our shareholders," says Eric Fast, Crane’s president and chief executive. "In partnership with Emerson, we combined two non-core businesses facing a changing and challenging market, and created a leader in its market segment. Our joint venture has reached its objectives, and consistent with our agreement, we have successfully completed the planned sale."

IMC’s new owner, De-Sta-Co president, Pat Carroll says that its products "serve a variety of attractive end markets and are a key upfront consideration in the design of new industrial automation systems." He adds that "the products` strong brand names and channels, combined with early visibility into industrial automation project requirements, will pull through additional De-Sta-Co automation products."

Michigan-based De-Sta-Co, founded in 1915, is a leader in clamping, gripping, transfer, robotic tooling, and flexible automation systems, operating in Dover’s materials handling business. Its portfolio includes linear and rotary actuators, linear slides and modular systems for assembling up to four axes using a quick-mounting system that does not need adaptor plates.

"We are very excited about this new partnership, knowing that De-Sta-Co products are very complementary to IMC`s product portfolio," says IMC president, Jeff Peterson. "It gives us the opportunity to offer a more comprehensive solution to our customers as they concept and design their industrial automation systems."
